Web Marketing Technologies and the above named client/company are entering into the following agreement together:

1. Authorization.  The above named client is engaging Web Marketing Technologies, located at 3133 Buffalo Speedway, #3303, Houston, TX, 77098, for the specific project of developing and/or improving a World Wide Web site to be installed on the Web Marketing Technologies' web hosting service virtual server. The client also contracts Web Marketing Technologies to publicize and promote their completed web site to multiple World Wide Web search engines, Web directories and indexes. Web Marketing Technologies is also authorized by the client to publicize and promote the site via press releases to the print media, Usenet newsgroups, and any other marketing vehicles if deemed appropriate.

2. Web Site Package Elements.  Web Marketing Technologies includes some or all of the following elements in their Web Site Package depending upon the nature and focus of the individual site:

• E-mail/phone/on-site consultation.  Up to 4 hours general Internet orientation education, marketing strategy, Web design consultation, and assistance helping client configure their own email tool to receive email via Web Marketing Technologies created email aliases or addresses. Additional education and consultation can be contracted at our hourly rate.
• Words of text supplied by the client. 200 words per page approximate maximum. (Web pages of more than 1,200 words of text may be subject to additional fees.)
• Links to external pages or web sites, up to an average of 2.5 per page.
• Custom Graphics Package:  Masthead graphic on first page (simple custom graphic incorporating company logo). Top-of-page graphic for all other pages in the web site. Colorful lines and/or bullets, and colored and/or textured background.
• Photos and other misc. graphic images supplied by client (up to an average of 1.3 included per page), in addition to masthead and top-of-page graphic.
• E-mail response link on each web page to any e-mail address or email alias the client designates.
• Image Maps, image links or text links on every page for internal navigation.
• CGI Programming to provide visitor interactivity. This is an optional, upgrade service and will only apply if enumerated on the accompanying estimate of services.
• Database creation and Programming to provide visitor interactivity. This is an optional, upgrade service and will only apply if enumerated on the accompanying estimate of services.
• Installation of web pages (including graphics image files, database and/or cgi programs) on the Web Marketing Technologies web hosting service virtual server.



3. Content of the web pages will be supplied by the client and executed as specified by the design of Web Marketing Technologies in collaboration with the client. This web site includes up to ___________ web pages. In case the client desires additional custom web pages beyond the number of pages specified above, the client agrees to pay Web Marketing Technologies an additional $_______ for each additional web page. Graphics or photos beyond the allowed average of 1.3 per web page shall be billed at an additional $____ each. Where custom graphic work (beyond the scope of the "Custom Graphics Package" detailed above) is requested, it will be billed at the hourly rate specified below.

4. Quarterly Maintenance.  This agreement includes web site maintenance to regular web pages over three month increment periods beginning with the first day of the month following the date the site is published to the Web Marketing Technologies web hosting service virtual server. Quarterly maintenance is billed at the rate of $___________ per quarter annual year and is payable prior to the first day of the month beginning the maintenance period.

5. Quarterly Maintenance Elements.  Web Marketing Technologies includes the following elements in their Quarterly Maintenance:

• Uninterupted World Wide Web hosting server services 24 hours per day, seven days per week. The client web site be avialable on the World Wide Web a minimum of 97% of the time.
• Domain Name Server service at the same availability as listed above for the client web site itself. This service is subject to the client's maintaining the URL as listed on page one of this agreement.
• Create and maintain an electronic log of visitors to the entrance page of the website.
• Updating links and making minor changes to a sentence or paragraph. If the client or an agent other than Web Marketing Technologies attempts updating the client's pages, time to repair web pages will be assessed at time and a half the hourly rate, and is not included as part of normal maintenance.
• Site publicity to at least a thirty major Web search engines, such as Google, AltaVista, InfoSeek, WebCrawler, Lycos, HotBot, etc.
• Changes requested by the client beyond those limits will be billed at the hourly rate of $ _________ or subject to a new contract agreement. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, web page design, editing, art, photo, and graphics services. CGI and/or database programming charges (if any) are not included in this rate.



6. Changes to Submitted Text.  Please send us your final text, in digital form, prior to commencement of site creation. Time required to make substantive changes to client-submitted text after web pages have been constructed will be additional, billed at the hourly rate.

7. Completion Date.  Web Marketing Technologies and the client must work together to complete the web site in a timely manner. We agree to work expeditiously to complete the web site no later than _________________________.

   If the client does not supply Web Marketing Technologies complete text and graphics content all web pages contracted for within six weeks of the date this contract was signed, the entire amount of the contract becomes due and payable. If the client has not submitted complete text and graphics content within two months after signing of this contract, an additional continuation fee of 10% of the total contract price will also be assessed each month, beginning in the third month, until the web site is published and advertised.

8. Assignment of Project.  Web Marketing Technologies reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

9. Limits to Liability.  In no event will Web Marketing Technologies be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or web site, even if Web Marketing Technologies has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

10. Laws Affecting Electronic Commerce:  From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend Web Marketing Technologies and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.

11. Copyrights and Trademarks.  The client represents to Web Marketing Technologies and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Web Marketing Technologies for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Web Marketing Technologies and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

12. Copyright to Web pages.  Copyright to the finished assembled work of web pages, images and programming files produced by Web Marketing Technologies is owned by Web Marketing Technologies. Upon final payment of this agreement the client is assigned rights to use as a web site the design, graphics, programming and text contained in the finished, assembled web site. Rights to images, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Web Marketing Technologies and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios.

13. Payment of fees.  Fees to Web Marketing Technologies are due and payable on the following schedule: 50% upon signing this contract, 50% when the web pages have been constructed according to the client's original specifications and published to Web Marketing Technologies web hosting service virtual server. If the total amount of this contract is less than $1000, the total amount shall be paid upon signing this contract. If the client chooses to not use Web Marketing Technologies' web hosting service the web pages and associated image files may be delivered to the client on 1.4 MB Zip diskettes. Advertising the pages to Web search engines and updating occur only for sites residing on the Web Marketing Technologies virtual server and only after the final payment is made. All payments will be made in US funds.

    If payment for web site creation is not remitted within 30 days of invoicing, which is done at time of publication of the site to the Web Marketing Technologies web hosting service virtual server, the site will be removed from the World Wide Web virtual server and a $50 republication fee will be assessed and must be paid prior to the sites reinstatement. If an amount remains delinquent 45 days after its due date, interest on the unpaid balance will accrue at a rate of 12% per annum. Web Marketing Technologies reserves the right to remove web pages from viewing on the Internet until final payment is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by Web Marketing Technologies. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Harris County, Texas, and any dispute will be litigated or arbitrated in Harris County, Texas.

14. Initial Payment and Refund Policy.  The total amount of this contract is $______________ as enumerated on the accompanying estimate.

    This agreement begins with an initial payment of $_____________. If the client halts work and applies by registered letter for a refund, within 30 days of the date of this agreement, to Web Marketing Technologies, work completed shall be billed at the hourly rate stated above, and deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract.

15. Sole Agreement.  The agreement contained in this "Web Site Design and Creation Agreement" constitutes the sole and entire agreement between Web Marketing Technologies and the client regarding this web site. Any additional work not specified in this contract must be authorized by a written change order.

The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.
